26. CONTACT US

1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world.

The Content and Marks are provided in or through the Services "AS IS" for your use of the Services only.

Your use of our Services

Subject to your compliance with these Legal Terms, including the "PROHIBITED ACTIVITIES" section below, we grant you a non-exclusive, non-transferable, revocable license to:

  • access the Services; and
  • download or print a copy of any portion of the Content to which you have properly gained access,

solely for your own use, personal or professional. The documents you make with the Services are yours to use for any purpose, including commercial ones. You may not resell, sublicense or offer the Services themselves to others (see section 7).

Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

If you wish to make any use of the Services, Content, or Marks other than as set out in this section or elsewhere in our Legal Terms, please address your request to: [email protected]. If we ever grant you the permission to post, reproduce, or publicly display any part of our Services or Content, you must identify us as the owners or licensors of the Services, Content, or Marks and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or displaying our Content.

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.

Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

Your submissions and contributions

Please review this section and the "PROHIBITED ACTIVITIES" section carefully prior to using our Services to understand the (a) rights you give us and (b) obligations you have when you post or upload any content through the Services.

Submissions: By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submission. You agree that we shall own this Submission and be entitled to its unrestricted use and dissemination for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

Contributions: The Services may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality during which you may create, submit, post, display, transmit, publish, distribute, or broadcast content and materials to us or through the Services, including but not limited to text, writings, video, audio, photographs, music, graphics, comments, reviews, rating suggestions, personal information, or other material ("Contributions"). Any Submission that is publicly posted shall also be treated as a Contribution.

You understand that Contributions may be viewable by other users of the Services and possibly through third-party websites.

Your content stays yours: by posting any Contributions you grant us only the license described in the section "CONTRIBUTION LICENSE" below.

You are responsible for what you post or upload: By sending us Submissions and/or posting Contributions through any part of the Services or making Contributions accessible through the Services by linking your account through the Services to any of your social networking accounts, you:

  • confirm that you have read and agree with our "PROHIBITED ACTIVITIES" and will not post, send, publish, upload, or transmit through the Services any Submission or Contribution that is illegal, infringes the rights of others, harasses or threatens anyone, violates someone's privacy, is child sexual abuse material, is spam, or contains malicious software;
  • to the extent permissible by applicable law, waive any and all moral rights to any such Submission and/or Contribution; and
  • warrant that any such Submission and/or Contributions are original to you or that you have the necessary rights and licenses to submit such Submissions and/or Contributions and that you have full authority to grant us the above-mentioned rights in relation to your Submissions and/or Contributions.

You are solely responsible for your Submissions and/or Contributions and you expressly agree to reimburse us for any and all losses that we may suffer because of your breach of (a) this section, (b) any third party’s intellectual property rights, or (c) applicable law.

We never edit your content: We have no obligation to monitor Contributions, and we never change them. We may remove or restrict a Contribution, suspend or close your account, and report you to the authorities, only as described under "Content Moderation" in section 12.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Services through automated means, such as a bot or script, except through the features we provide for it (such as assistants you connect, sync with other services and our APIs) and within their limits; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

4. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password.

5. PURCHASES AND PAYMENT

We accept the payment methods shown at checkout.

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments shall be in US dollars.

You agree to pay all charges at the prices then in effect for your purchases, and you authorize us to charge your chosen payment provider for any such amounts upon placing your order. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

We reserve the right to refuse any order placed through the Services. We may limit or cancel what one person or one order can buy, including orders placed under the same customer account or with the same payment method. An offer for new customers applies only if you have not paid us or had a trial before, under any account or workspace with the same email address.

6. SUBSCRIPTIONS

Billing and Renewal

Your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel the applicable order. The length of your billing cycle will depend on the type of subscription plan you choose when you subscribed to the Services.

Trial

We offer new Scholar subscribers a 7-day trial for a one-time charge of $1, once per person (the Lab plan has no trial). Accounts with the same email address, including variants of the same address, or that pay with the same card count as the same person. If you have had a trial before, you can subscribe without one. If we only find out after you paid, we refund the $1, end that subscription at once and tell you by email. At the end of the trial your subscription starts and renews at the price of the plan you chose, until you cancel.

Cancellation

You can cancel your subscription at any time by logging into your account. Your cancellation will take effect at the end of the current paid term. You may ask for a refund within 14 days of a charge, as described in our Refund Policy. We refund a plan charge once per person in any 12 months; the Refund Policy says what does not count toward this limit. If you have any questions or are unsatisfied with our Services, please email us at [email protected].

A Lab team plan is priced by seat: a base price that includes a stated number of members, and an amount for each additional member, shown at checkout and on the plan page. The subscription renews at the base price plus the seats you have bought, until you cancel. An owner or admin of the team buys seats, and we never add seats or charge for them unless one asks. Seats added during a billing period are charged at once, for the rest of that period. Seats you remove are removed at the next renewal and are not credited; until then they stay in use. A charge under 50 cents is added to your next invoice. People you invite to work on a single project are not members of the team and do not need a seat.

Payment Disputes

If you dispute a plan charge with your bank or card issuer, we end the paid plan when the dispute is opened, as a refund does (a Lab team becomes read-only), and stop its renewal. If the dispute is decided in our favour, the plan is not restored, but you can subscribe again. If a charge looks wrong, write to us first at [email protected].

Fee Changes

We may, from time to time, make changes to the subscription fee and will communicate any price changes to you in accordance with applicable law.

Plans and Limits

Each plan, including the free plan, has limits, for example on compile time, compile priority, compiles at once, storage, file size, version history, team members (for a Lab team, the seats it has bought) and the features it includes. The current limits are shown on our pricing page and in your account. Compile waiting times and speeds are not guaranteed and vary with demand, especially on the free plan.

Changes to Plans and Limits

We may change the limits and features of any plan, introduce or retire plans, and change which features each plan includes. We make these changes for valid reasons, such as changes in what it costs us to run the Services, keeping the Services fast, stable and secure for everyone, preventing abuse, changes in the law or in services we rely on, and changes to the product.

Changes that do not reduce what your plan gives you may take effect at any time. If a change reduces the limits or features of your plan in a way that is more than minor, we will tell you by email before it takes effect: at least 30 days before on a paid plan, and at least 14 days before on the free plan. When a change is needed sooner to protect the Services, their security or other users, or to comply with the law, we will tell you as soon as we reasonably can. Where possible, a reduction to a paid plan takes effect at the start of your next billing period.

If a change reduces your paid plan in a way that is more than minor, you may cancel within 30 days after our notice or after the change takes effect, whichever is later, and we will refund the unused part of your current billing period. Any other compensation for a change, such as credit, a discount, extra time or a different plan, is at our discretion and depends on the circumstances.

Referral Program

What it is. We may offer a referral program. While it is on, you can share your personal referral link or code. When a person signs up through it and meets the conditions below, you, and in some cases the person you referred, can earn a reward. Who can earn a reward, what the reward is, what earns it and how long it is held are set by us, can differ from one person to another, and are shown on your Referrals page (Settings > Referrals) while the program is on.

Who can take part. You must be at least 18 years old, have a verified email address and have an account in good standing. A person you refer must also be at least 18, must be a new customer and must claim your referral within the claim window we set for the program after creating their account. A person can be referred once, by one code.

How a reward is earned. A referral earns a reward only when the person you referred completes the step the program sets, and only after the hold below has ended. The step is shown on your Referrals page: for example verifying an email address, creating a first project, or making a first payment, which may have to be of at least a minimum amount. Depending on that minimum, the $1 Scholar trial may not count as a first payment.

Hold. After the step is completed, each reward is held for a period before it is applied to your account, so that refunds and payment disputes can come in first. The hold is never shorter than our 14-day refund window plus the time we need to process a refund. When the hold ends and nothing has changed, the reward is applied and we tell you in the app.

When a reward is withdrawn. We may reverse or cancel a reward, before or after it is applied, if:

  • the payment that earned it is refunded, is disputed or is charged back, or the subscription that earned it ends or is set to end inside the hold;
  • your account or the account of the person you referred breaks these Legal Terms or this section;
  • the referral was made through fraud, self-dealing or a method this section does not allow;
  • an account involved in the referral is deleted before the reward is applied; or
  • the reward was applied by mistake.

If a reward that has already been used is reversed, we may take its value from your future credit, so that you cannot spend credit until it is covered.

Referring yourself and more than one account. You may not refer yourself or an account that you or someone you act with controls, and you may not use more than one account to earn rewards. Accounts whose email addresses reach the same mailbox, including variants of the same address, are treated as the same person.

Automated checks. To protect the program we use automated fraud-prevention checks, which may consider email, network and usage signals, and limits on how many referrals one person can bring in over time. A referral that fails a check may be ineligible, or may be held for our staff to review. We do not always tell you or the person you referred why. A check affects only the reward: no one is refused an account because of it. If you think a referral was held or refused by mistake, write to [email protected] and a person will look at it. The data these checks use is described in our Privacy Policy.

No cash value. Rewards of credit, plan time or storage have no cash value, cannot be exchanged for money, sold, gifted or transferred, and are not a deposit or stored value, and credit is not refundable as cash. If a program offers a reward in cash, your Referrals page says so, and it is paid only as described under "Cash rewards" below.

Cash rewards. Where a reward is paid in cash, it goes into a cash balance of its own, which credit at checkout never uses. To withdraw it you must first verify your identity with the check described in our Privacy Policy, and you ask to withdraw the whole balance from your Referrals page (the minimum amount is shown there). We review the request and pay it in US dollars to the payout account or bank account you give us, once for each verified identity. We may refuse or reverse a withdrawal, and cancel a cash reward, if the identity check fails, if we find more than one account for the same person, if the payment details do not match the name that was verified, or if the reward is cancelled under this section. If we refuse or you cancel a withdrawal, the amount goes back to your cash balance. We may ask you for the information we need to meet our own legal duties.

Credit. Credit can only be used toward a purchase from us, when you start a checkout and choose to use it. It never pays more than the amount due and does not apply to the $1 trial. We may leave a small part of an invoice (at least 50 cents) to be paid by card, because of the payment processor's minimum. While a checkout that uses credit is open, that credit is held for it; if you do not complete the checkout, the credit is released after about a day.

Plan time and storage. A reward of plan time gives you that plan for the period shown while you have no paid subscription of your own. If you pay, hold a voucher, or have a plan that we set, you get the equivalent as credit instead, and if you start a paid subscription while referral time is running, the time that is left becomes credit once you pay the plan's price (the $1 trial does not count). A reward of storage adds storage for the period shown, and ends when that period ends. Any reward given for a period ends when the period ends. We may set an expiry for credit as well, and we will tell you if we do.

Taxes. Rewards are given as credit, plan time or storage, not as money, except a cash reward as described above. You are responsible for any tax that applies to a reward where you live.

Sharing your link. If you share your link or code publicly, or in return for any benefit to you, you must say clearly that you may earn a reward from it, as the law where you live requires of an endorsement. You must not make false or misleading claims about the Services, send unsolicited email or messages, or place the link where a site's rules forbid it. Sharing your referral link and earning a reward under this section is an endorsed use of the Services for the purposes of section 7.

Our discretion. We may change, pause or end the referral program, change any reward or rule, and hold, void or refuse any referral or reward, at any time, acting in good faith: for example to prevent abuse, to protect the Services, or to follow the law. A change does not take back a reward that has already been applied, except as this section provides. Our decision on whether a referral qualifies is final, subject to the law that applies to you.

Deleting or closing an account. If your account is deleted, by you or by us under these Legal Terms, your referral code stops working, rewards that are waiting to be applied are cancelled, and unused credit is lost, except where the law requires otherwise. As with any deletion, a period you already paid for is not refunded. A reward that has already been applied to someone else's account stays with them. Our Privacy Policy says what we keep about a referral after an account is deleted.

7. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. You may use the Services for paid or commercial work, but you may not resell, sublicense or offer the Services themselves to others. Sharing your referral link and earning a reward under the Referral Program section is an endorsed use of the Services and is not a breach of this section, as long as you follow that section.

  • Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
  • Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
  • Circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Services and/or the Content contained therein.

  • Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools, except through the features we provide for it (such as assistants you connect, sync with other services and our APIs) and within their limits.
  • Delete the copyright or other proprietary rights notice from any Content.
  • Attempt to impersonate another user or person or use the account of another user.

8. USER GENERATED CONTRIBUTIONS

The Services may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Services, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, "Contributions"). Contributions may be viewable by other users of the Services and through third-party websites. When you create or make available any Contributions, you thereby represent and warrant that:

  • The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party.
  • You are the creator and owner of or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize us, the Services, and other users of the Services to use your Contributions in any manner contemplated by the Services and these Legal Terms.
  • You have the written consent, release, and/or permission of each and every identifiable individual person in your Contributions to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of your Contributions in any manner contemplated by the Services and these Legal Terms.
  • Your Contributions are not spam, such as unsolicited advertising, pyramid schemes, chain letters or mass mailings.
  • Your Contributions are not used to harass, threaten, intimidate or abuse anyone, or to promote violence against a person or group.
  • Your Contributions do not violate any applicable law, regulation, or rule.
  • Your Contributions do not violate the privacy or publicity rights of any third party.
  • Your Contributions are not child sexual abuse material and do not violate any law that protects minors.
  • Your Contributions do not contain viruses or other malicious software.
  • Your Contributions do not otherwise violate, or link to material that violates, any provision of these Legal Terms, or any applicable law or regulation.

Any use of the Services in violation of the foregoing violates these Legal Terms and may result in, among other things, termination or suspension of your rights to use the Services.

9. CONTRIBUTION LICENSE

You own your Contributions, including your documents, files, comments and messages. By posting them to the Services, or making them accessible to the Services (for example by linking a repository), you give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, compile, display and transmit them, only as needed to provide the Services to you and to the people you share them with, to keep the Services secure and working, and to meet our legal obligations and enforce these Legal Terms, including the checks described under "Content Moderation" in section 12. We do not use your Contributions for advertising, and we do not sell them or use your name, company name or logos in marketing without your permission. The license ends when you delete the Contribution or your account, apart from copies in backups, in the history of projects other people still have, and copies we keep under "Content Moderation" in section 12 or as the law requires.

We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the Services. You are responsible for your Contributions to the Services.

We never edit your Contributions. We remove or restrict them only as described under "Content Moderation" in section 12, or when you ask us to. We have no obligation to monitor your Contributions.

10. SOCIAL MEDIA

You can sign in with an account you have with a third-party provider, such as Google or GitHub, and you can connect other services to your account, such as cloud storage or code hosting (each, a "Third-Party Account"). When you do, you let us access that account as its provider allows and as shown when you connect it; we never ask for its password. You must be entitled to connect it under the provider's terms. From a sign-in account we keep only your name and email address. With a connected service we exchange only the files you choose to sync. YOUR RELATIONSHIP WITH THE PROVIDER OF A THIRD-PARTY ACCOUNT IS GOVERNED SOLELY BY YOUR AGREEMENT WITH THAT PROVIDER. If a provider becomes unavailable or ends our access, what comes from it may no longer be available through the Services. You can disconnect a connected service at any time in your account settings; we then delete the access it gave us. Your name and email address stay on your account.

Assistants and Other Apps You Connect

You can choose to connect an AI assistant or another third-party app to your account. When you do, you authorize it to act on your behalf, within the permissions you grant it and your own role on each project: it may read, search, change, compile and download your projects, and see their files, history, comments and compiled documents. What it does through your account is treated as done by you under these Legal Terms, and it counts toward your plan's limits and fair use.

The app is provided by a third party under its own terms and privacy policy, which govern your use of it and what it does with the content it receives. We do not control it, and we are not responsible for the app or for what it does or produces, including any text, code or changes it makes, so check its work before you rely on it. Connect only apps you trust, and share content with an app only where you are entitled to, including content written by your co-authors.

You can disconnect an app at any time in your account settings. We may disconnect an app, or limit what it can do, to protect you, other users or the Services, or if your account is suspended.

11. THIRD-PARTY WEBSITES AND CONTENT

The Services may contain (or you may be sent via the Site) links to other websites ("Third-Party Websites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties ("Third-Party Content"). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, apart from the safety and legal checks described under "Content Moderation" in section 12, which do not mean that we review or endorse them, and we are not responsible for any Third-Party Websites accessed through the Services or any Third-Party Content posted on, available through, or installed from the Services, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content. Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Services and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk, and you should be aware these Legal Terms no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any website to which you navigate from the Services or relating to any applications you use or install from the Services. Any purchases you make through Third-Party Websites will be through other websites and from other companies, and we take no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party. You agree and acknowledge that we do not endorse the products or services offered on Third-Party Websites and you shall hold us blameless from any harm caused by your purchase of such products or services. Additionally, you shall hold us blameless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.

Packages, Fonts and Templates

Your documents are compiled with third-party software, such as TeX Live and other typesetting systems, and the packages, classes and fonts that come with them. Where the Services support it, packages your document asks for may be fetched on your behalf from the public package repository of its document language (for example, Typst Universe). The template gallery includes templates made by others. This software and these packages, fonts and templates are Third-Party Content: they are made by others, are provided as is under their own licenses, and are not part of our Content. When you use them, or share or publish a document made with them, you are responsible for following their licenses, including any notice or attribution they require. We may add, update, change or stop providing any of them at any time.

12. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, we reasonably believe, violates the law or these Legal Terms, including reporting such user to law enforcement authorities; (3) remove or restrict access to Contributions as described under "Content Moderation" below; (4) limit, slow or pause use that puts an undue load on our systems, as described under "Fair Use" below; and (5) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

Fair Use

Every plan is subject to fair use. Where a plan is described as "unlimited" or as having "no quota", or sets no limit on something, that describes the normal use of a person or team writing and compiling their own documents. It does not mean unlimited computing power, storage or bandwidth.

We decide whether use is outside fair use, acting in good faith. We look at how much and how often the Services are used compared with typical use on the same plan, and at the effect on the Services, on their cost and on other users. Examples of use outside fair use include:

  • compiling far more often or for far longer than writing and checking a document needs, including compiling in a loop or by script;
  • using the Services as general-purpose computing, file storage, file hosting or a content delivery network, or for work unrelated to writing documents, such as cryptocurrency mining, scraping or bulk conversion;
  • sharing projects, links or invitations with a public audience rather than with collaborators, or at a scale that puts an unusual load on the Services;
  • sharing one account or one individual plan among several people, or using several accounts or workspaces to get around a limit;
  • any use that degrades the Services for other users.

If we decide that use is outside fair use, we may take the steps we consider proportionate, including:

  • limiting, slowing, queuing or pausing the activity concerned;
  • asking you to reduce it, or to move to a plan that fits it;
  • lowering the limits of your account or workspace, or moving it to a lower plan;
  • suspending your account;
  • terminating your account under section 14.

Before we act, we will tell you what the problem is and give you a reasonable chance to fix it, normally at least 7 days. We will not do this when the use is illegal, harmful or a security risk, or puts the Services or other users at immediate risk. We may limit the activity right away while we look into it. If we act because your use was outside fair use, you are not entitled to a refund or other compensation, except where the law requires it. If we terminate your account, we will give you at least 30 days to download your projects before we delete them, unless the law or a security risk prevents it.

Content Moderation

This part explains how we deal with content and conduct that is illegal or breaks these Legal Terms, including section 7 and section 8. It applies to all content on the Services, including private projects. When we act under it, we act in a diligent, objective and proportionate way, with due regard to the rights and legitimate interests of everyone involved, including freedom of expression.

How we find it. We may learn about content from reports by users and the public, from authorities, from our own review and from automated tools. To protect people and the Services, we may scan content stored on or processed by the Services, including files, compiled documents, the images in them and templates, with automated tools. These include hash matching, which compares files and images with digital fingerprints of material already identified as illegal, such as child sexual abuse material, or that we have removed before. These checks run when content is added or changed and may run again later. We may also check files for malicious software, and we may refuse files our tools cannot check, such as password-protected archives or PDFs. These checks do not mean that we review all content, or that content we have not removed is lawful or allowed.

Human review. When an automated tool matches content with known illegal material, or with material we have removed before, we may restrict the content and the account concerned at once, without waiting for a person, and a member of our team then reviews the case. When a user reports files as child sexual abuse material, we may also block access to them at once while we review the report. We do this only for reports from accounts at least one day old, for at most three reports from the same person in 24 hours, and not for a person whose report we found unfounded in the last 30 days; other reports wait for review. Other decisions under this part are normally made by a member of our team.

What we may do. If we reasonably believe that content is illegal or breaks these Legal Terms, or that an account is used to store or share such content, we may take the steps we consider appropriate, including:

  • removing the content, blocking access to it or stopping it from being shared, here and wherever else the same content appears on the Services;
  • deleting compiled documents that contain it, or making a project read-only;
  • suspending, limiting or closing the account concerned, and refusing new accounts to the same person;
  • while a case is open, keeping the reported content and not letting the account concerned, or that content, be deleted until the case is closed;
  • keeping the content and information about the account where the law requires or permits it, including after the account is deleted.

We aim to act quickly on content we believe is illegal, and we give priority to child sexual abuse material, terrorist content and intimate images shared without consent.

Reporting to authorities. Where the law requires or permits it, we report illegal content, and information about the accounts and people involved, to law enforcement and other competent authorities and to child-protection organizations, such as the National Center for Missing & Exploited Children in the United States. This includes information that suggests a criminal offence threatening someone's life or safety. We also act on orders from courts and authorities as the law requires.

Reporting content to us. Anyone, with or without an account, can report content they believe is illegal or breaks these Legal Terms on our Report content page, and signed-in users can also use Report in the editor. Copyright owners can send notices the same way or to [email protected]. Say where the content is and why it is illegal or breaks these Legal Terms, as precisely as you can, and do not send us the illegal material itself. If you give us your email, we confirm that we received your report and tell you our decision. If we use automated tools to handle your report, our decision says so. We do not give your name or email to the person whose content you report, unless the law requires it or it is needed to deal with your report, as with some copyright notices. We may disregard reports that are manifestly unfounded, and false reports break section 7. If someone is in immediate danger, call your local emergency number.

Telling you about a decision. If we remove or restrict your content, or suspend or close your account, because we believe content is illegal or breaks these Legal Terms, we tell you, where the law requires it and otherwise where we consider it appropriate: what we did, the facts behind it, the legal or contractual ground, whether automated tools were used, and how you can challenge it. We may delay or limit this information where the law permits or requires it, for example so as not to hinder a criminal investigation.

Contact point. Authorities, and anyone who needs to reach us about illegal content on the Services, can write to [email protected] in English or French.

Complaints. If you disagree with a decision we made about your content, your account or a report you sent, think an automated tool was used on your content in a way this part does not describe, or think we are not dealing properly with illegal content, write to [email protected]. Complaints are free. Say which decision you mean (you can reply to our email) and why you think it is wrong, and add anything that supports your complaint. A member of our team, not an automated tool alone, reviews your complaint, and we tell you the outcome and the reasons. If we find that our decision was wrong, we reverse it where we can, for example by restoring the content or lifting a suspension. We may decline to review again a decision we have already reviewed on complaint, or a complaint that is manifestly unfounded or abusive.

Other redress. Complaining to us does not affect your other rights. You can also take a dispute about a decision to court, and where the law gives you the right to use an out-of-court dispute settlement body for such decisions, you may use it as well.

13. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy: https://texeno.com/privacy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in France, Germany and Spain. Section 7 of our Privacy Policy explains when your information is transferred to other countries and how it is protected.

14. TERM AND TERMINATION

These Legal Terms remain in force while you use the Services. We may suspend or end your access to the Services (including by blocking IP addresses), or close your account, if you break these Legal Terms, if the law requires it, or to protect the Services, other users or other people. For any other valid reason, such as no longer offering a plan or the Services, we close an account only after at least 30 days' notice, and we refund the unused part of any period you paid for.

When we act because use is outside fair use, we follow the steps in "Fair Use" in section 12. When we act because of content or conduct that is illegal or breaks these Legal Terms, "Content Moderation" in section 12 explains how we tell you and how you can complain. The 30 days to download your projects in "Fair Use" do not apply to content we remove or block under "Content Moderation".

If we suspend or close your account, you may not create a new account to get around it, under your own name or any other, even on behalf of someone else. If we suspend or close it for breaking these Legal Terms, we refuse new accounts with the same email address, including its variants, for 3 years or until we lift the suspension. If you think this is a mistake, write to [email protected]. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

15. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Services. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.

Changes to plans and their limits follow "Changes to Plans and Limits" in section 6, and price changes follow "Fee Changes" in section 6.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services. Nothing in these Legal Terms will be construed to obligate us to maintain and support the Services or to supply any corrections, updates, or releases in connection therewith.

16. GOVERNING LAW

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Delaware applicable to agreements made and to be entirely performed within the State of Delaware, without regard to its conflict of law principles. If you are a consumer, this choice of law does not deprive you of the protection of the mandatory laws of the country where you live.

17. DISPUTE RESOLUTION

Any legal action of whatever nature brought by either you or us (collectively, the "Parties" and individually, a "Party") shall be commenced or prosecuted in the state and federal courts located in Kent County, Delaware, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Legal Terms. If you are a consumer, nothing in this section stops you from bringing proceedings in the courts of the place where you live, where the law gives you that right.

18. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

19. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO THE SERVICES AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, AND/OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES, ANY HYPERLINKED WEBSITE, OR ANY WEBSITE OR MOBILE APPLICATION FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND WE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

20. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US. CERTAIN US STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS. NOTHING IN THESE LEGAL TERMS EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER THE LAW THAT APPLIES TO YOU, OR AFFECTS THE MANDATORY RIGHTS YOU HAVE AS A CONSUMER.

21. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) use of the Services; (3) breach of these Legal Terms; (4) any breach of your representations and warranties set forth in these Legal Terms; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Services with whom you connected via the Services. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

22. USER DATA

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that, except where the law does not allow it, we shall have no liability to you for any loss or corruption of any such data, and you waive any right of action against us arising from it. This does not limit our liability for loss or corruption caused by our own fault where the law does not allow such a limit.

23. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

24. CALIFORNIA USERS AND RESIDENTS

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by telephone at (800) 952-5210 or (916) 445-1254.

25. MISCELLANEOUS

These Legal Terms and any policies or operating rules posted by us on the Services or in respect to the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Legal Terms or use of the Services. You agree that these Legal Terms will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Legal Terms and the lack of signing by the parties hereto to execute these Legal Terms.
